The specific scope, deliverables, timelines, and pricing for any Service engagement are defined in a separate advisory agreement between BOE Advisory LLC and the Client. These Terms govern the general use of our Website and serve as the baseline terms for all Service engagements unless modified by a separate written agreement.
All Content on our Website, including but not limited to text, graphics, logos, images, software, and design elements, is the property of BOE Advisory LLC or its licensors and is protected by Intellectual Property Rights under applicable law. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Content from our Website without our prior written consent.
You are granted a limited, non-exclusive, non-transferable license to access and view the Content on our Website for your personal, non-commercial use. Unless otherwise specified in a written agreement, BOE Advisory LLC retains ownership of its pre-existing methodologies, frameworks, tools, templates, and proprietary processes used in the course of providing Services. Custom Deliverables created specifically for a Client are typically transferred to the Client upon full payment, subject to the terms of the advisory agreement.
If you submit information, feedback, or other content to us through our Website or in the course of engaging our Services, you retain ownership of that content. By submitting it, you grant us a non-exclusive, royalty-free license to use, reproduce, and process that content as necessary to provide our Services and operate our business. You represent and warrant that you have the right to submit such content and that it does not infringe the rights of any third party.
Fees for our Services are determined on a per-engagement basis and are specified in the applicable advisory agreement. Unless otherwise agreed in writing, the following general payment terms apply:
BOE Advisory LLC reserves the right to suspend or terminate Services if invoices remain unpaid for more than sixty (60) days, subject to the terms of the applicable advisory agreement and applicable law.
Confidentiality is fundamental to our advisory business, particularly given the sensitive strategic and operational information we handle during advisory engagements. Both parties agree to maintain the confidentiality of any non-public information disclosed by the other party in the course of engaging with our Website or Services.
Confidential Information includes, but is not limited to, business plans, strategic initiatives, technology assessments, system architecture documentation, security postures, financial information, client lists, pricing information, trade secrets, and any other information that is reasonably understood to be confidential or proprietary based on its nature or the circumstances of disclosure.
Each party agrees to use Confidential Information solely for the purpose of providing or receiving Services, to protect it with at least the same degree of care used to protect its own confidential information (but no less than reasonable care), and not to disclose it to third parties without prior written consent, except as required by law or to employees and contractors who need to know and are bound by confidentiality obligations.
Confidentiality obligations survive the termination of any advisory engagement and remain in effect for a period of five (5) years from the date of disclosure, or indefinitely for trade secrets and information that constitutes a trade secret under applicable law.
BOE Advisory LLC warrants that its Services will be performed in a professional and workmanlike manner consistent with industry standards for technology advisory services. If a Client identifies a deficiency in the Services within thirty (30) days of delivery, BOE Advisory LLC will, at its option, re-perform the deficient work or adjust the fees, provided that the deficiency is brought to our attention in writing within the warranty period.
Our Services are advisory in nature. Recommendations, strategic advice, and architectural designs provided by BOE Advisory LLC represent our professional judgment based on the information available at the time of the engagement. Clients remain responsible for evaluating and implementing recommendations in the context of their specific operational environment and business objectives.
Our Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BOE Advisory LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.
While we strive to deliver high-quality advisory Services, we do not guarantee specific business outcomes, performance results, or return on investment from the implementation of our recommendations. Advisory outcomes depend on many factors beyond our control, including Client implementation, organizational change, market conditions, and third-party systems.
To the maximum extent permitted by applicable law, in no event shall BOE Advisory LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunities, business interruption, or cost of substitute services, arising out of or related to your use of the Website or Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of BOE Advisory LLC arising out of or related to these Terms or the provision of Services shall not exceed the total amount paid by the Client to BOE Advisory LLC for the specific Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.
Given the advisory nature of our Services, Clients acknowledge that implementation of recommendations is the Client's responsibility, and BOE Advisory LLC shall not be liable for outcomes resulting from the Client's implementation decisions, organizational changes, or external factors beyond our control.
The limitations and exclusions in this section apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless BOE Advisory LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Website, your violation of these Terms, your violation of any applicable law or the rights of a third party, or any content or information you submit to us.
BOE Advisory LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. This indemnification obligation survives the termination of these Terms and any advisory engagement and is in addition to any other indemnification obligations set forth in a separate advisory agreement.
These Terms are effective upon your first access to our Website or engagement of our Services and remain in effect until terminated as provided herein.
BOE Advisory LLC may suspend or terminate your access to the Website at any time, with or without cause or notice, if we believe you have violated these Terms or for any other reason at our sole discretion. You may discontinue use of the Website at any time.
Advisory engagements may be terminated in accordance with the terms of the applicable advisory agreement. Unless otherwise specified, either party may terminate an advisory engagement with thirty (30) days written notice. Upon termination, all outstanding fees for Services performed up to the effective date of termination become immediately due and payable.
Upon termination, all licenses and rights granted to you under these Terms cease immediately. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, confidentiality, limitation of liability, and indemnification — shall survive and remain in effect.
These Terms and any dispute arising out of or related to them or to the use of our Website or Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Natrona County, Wyoming, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

BOE Advisory LLC shall not be liable for any failure or delay in the performance of its obligations under these Terms or any advisory agreement to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions, labor disputes, power outages, telecommunications failures, internet disruptions, or other similar events ("Force Majeure Events").
In the event of a Force Majeure Event, BOE Advisory LLC will use commercially reasonable efforts to resume performance as soon as practicable. If a Force Majeure Event continues for more than thirty (30) days, either party may terminate the affected advisory engagement without penalty. Fees paid in advance for Services not performed due to a Force Majeure Event will be prorated and refunded or credited.
The party affected by a Force Majeure Event shall promptly notify the other party of the event, its expected duration, and the steps being taken to mitigate its impact. Failure to provide timely notice may limit the protections of this section.
These Terms, together with any advisory agreement entered into between you and BOE Advisory LLC and any policies referenced herein, constitute the entire agreement between the parties regarding the use of our Website and Services and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of BOE Advisory LLC. The failure of BOE Advisory LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
